These Terms of Service ("Terms") govern your access to and use of HYPX, a software platform and services operated by Huzzah Labs Limited ("Company", "HYPX", "we", "us", or "our") through our web application, mobile applications, and related services (collectively, the "Platform" or "Services").
Please read these Terms carefully, along with our Privacy Policy and Cookie Policy, which form part of this agreement. By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must immediately stop using the Services.
We may update these Terms from time to time by posting a revised version on the Platform. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. We may discontinue the Services, in whole or in part, at any time without prior notice.
HYPX provides software tools and infrastructure that enable users to create, configure, and automate cryptocurrency trading strategies on supported third-party exchanges and blockchain networks. The Services include strategy configuration, bot management, execution infrastructure, analytics, performance tracking, and related features.
The Services are software tools only. HYPX does not provide investment advice, financial advice, portfolio management, brokerage, custody, or any regulated financial services. We do not recommend, endorse, or guarantee any trading strategy, signal provider, exchange, or third-party service. You are solely responsible for your trading decisions.
HYPX operates on a non-custodial basis wherever technically feasible. You retain control of your wallets, exchange accounts, API keys, and digital assets. HYPX executes transactions only as instructed by you through the automation tools you configure. We cannot access, withdraw, or transfer your funds.

By creating an account, you represent and warrant that you meet all eligibility requirements. You are responsible for maintaining the security of your account credentials, devices, wallets, recovery phrases, and any authentication methods. You agree to notify us immediately of any unauthorized access or security breach.
We may require identity verification (KYC), customer due diligence, or additional documentation at our sole discretion to comply with applicable anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, or other legal requirements.
Use of the Services is void where prohibited by law. The Services are not available to persons or entities in, or subject to the jurisdiction of, certain restricted territories ("Restricted Jurisdictions"), including but not limited to:
"Restricted Persons" include individuals, entities, or organizations: (i) located in or organized under the laws of a Restricted Jurisdiction; (ii) listed on sanctions lists maintained by OFAC, UN, EU, HM Treasury, or similar authorities; or (iii) owned or controlled by such persons.
By using the Services, you represent that you are not a Restricted Person and will not use the Services from a Restricted Jurisdiction. We reserve the right to block access, suspend accounts, or terminate Services based on geographic location or sanctions screening results.
Cryptocurrency trading involves substantial risk of loss and is not suitable for everyone. You may lose some or all of your capital. Before using the Services, you should carefully consider whether trading digital assets is appropriate for your financial situation, risk tolerance, and investment objectives.

Backtests, simulations, historical performance, and past results are for illustrative purposes only and do not guarantee future outcomes. Automated strategies may behave unpredictably in live market conditions. You accept full responsibility for monitoring and managing your positions.

Access to certain features may require a paid subscription or usage-based fees ("Subscription Fees"). Fees, plan structures, and feature availability are detailed on the Platform and may change at our discretion with reasonable notice (typically 14 days).
Subscription Fees are billed in advance on a monthly or annual basis unless otherwise specified. All fees are non-refundable except where required by applicable law or as explicitly stated in our refund policy. If we increase Subscription Fees by more than 20% in a single billing period, we will notify you and request confirmation.
You authorize us (or our payment processors) to charge your payment method for all applicable fees. Failure to pay may result in suspension or termination of access. You are responsible for all taxes, duties, and assessments associated with your use of the Services.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds or credits will be issued for partial subscription periods, unused time, or mid-cycle cancellations, except as required by law.
We do not offer refunds for initial subscription purchases or upgrades to higher-tier plans. For annual subscriptions, if you contact us within 14 days of an automatic renewal charge, we may, at our sole discretion, issue a refund. Users who initiate chargebacks or payment disputes are not eligible for refunds through us.
Free trial terms, promotional offers, and limited-time pricing are subject to specific conditions and are non-transferable.

The Services integrate with third-party platforms including cryptocurrency exchanges, blockchain networks, wallet providers, analytics services, and signal providers (collectively, "Third-Party Services"). We are not responsible for the availability, security, privacy practices, or content of Third-Party Services.
Your use of Third-Party Services is subject to their respective terms and policies. We do not endorse, guarantee, or assume liability for any Third-Party Services, including signal providers, strategy creators, or trading groups. You use Third-Party Services at your own risk.
Links to external websites are provided for convenience only. We do not control or monitor linked sites and are not responsible for their content or practices. You should review the privacy policies and terms of any sites you visit.
The Platform, including all software, code, designs, trademarks, logos, content, data, and documentation (excluding user-generated content and third-party materials), is owned by Huzzah Labs Limited or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Platform or its components.
All trademarks, service marks, and trade names are the property of their respective owners. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.
You retain ownership of data and content you provide to the Services. By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your data as necessary to provide and improve the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, TITLE, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF CONTENT, DATA, OR RESULTS PROVIDED THROUGH THE SERVICES.
YOU ACKNOWLEDGE THAT AUTOMATED TRADING CARRIES INHERENT RISKS, INCLUDING RISK OF TOTAL LOSS, AND THAT THE SERVICES MAY EXPERIENCE TECHNICAL FAILURES, EXECUTION DELAYS, API ERRORS, OR OTHER DISRUPTIONS. WE DO NOT GUARANTEE PROFIT OR ANY SPECIFIC TRADING OUTCOMES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUZZAH LABS LIMITED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR TRADING LOSSES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN SUBSCRIPTION FEES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 USD.
WE ARE NOT LIABLE FOR ANY ACTS OR OMISSIONS BY THIRD-PARTY SERVICES, EXCHANGES, BLOCKCHAIN NETWORKS, PAYMENT PROCESSORS, INTERNET SERVICE PROVIDERS, OR OTHER EXTERNAL PARTIES. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.
Some jurisdictions do not allow exclusion or limitation of certain warranties or liabilities. In such cases, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Huzzah Labs Limited, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

Upon termination, your right to use the Services ceases immediately. We may delete or retain your data in accordance with our Privacy Policy and applicable legal requirements. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnification, and dispute resolution) will continue to apply.
You may terminate your account at any time by ceasing use and contacting support. Termination does not relieve you of obligations incurred prior to termination or entitle you to refunds for prepaid fees.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you irrevocably consent to venue and personal jurisdiction in such courts.
Time Limitation on Claims: You agree that any claim or cause of action arising from or related to the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Huzzah Labs Limited regarding the Services and supersede all prior agreements and understandings.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any third party without restriction.
No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
No Agency: Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Huzzah Labs Limited.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, network failures, or cyberattacks.
Language: These Terms are drafted in English. Any translation is provided for convenience only. In case of conflict, the English version prevails.
